Terms and Conditions of Digital Wallet

Representations

  1. Clip Cartera Digital, S.A.P.I. de C.V. (“Clip Cartera Digital”) states that it is a commercial company duly incorporated under the laws of the United Mexican States, with the legal capacity to provide payment services and solutions, as well as digital goods services and platforms. It also has the necessary agreements and authorizations from the financial institutions and third parties with whom it operates for the provision of the service.
  2. The User states that they are an individual of legal age, with the legal capacity to be bound under these Terms and Conditions.
  3. The User represents that all information and documentation they provide to Clip Cartera Digital will be true, accurate, current, and verifiable, and that their use of the Services will comply with applicable Mexican law, in particular that relating to anti‑money laundering, personal data protection, financial services, and consumer protection.

In view of the foregoing, the parties agree as follows:

Definitions

For purposes of these Terms and Conditions (“T&C”), the terms set out below shall have the following meaning, whether used in the singular or plural, and regardless of whether they are expressed in the feminine or masculine:

  1. Application: The “Mi Clip” mobile and/or web application or any other that Clip Cartera Digital may designate for the provision of the service.
  2. Digital Wallet: Set of functionalities that allow the User to receive, hold, transfer, and dispose of funds in Clip AI, as well as to make payments, top‑ups, and use other services and functions that may be enabled from time to time.
  3. Digital Wallet Account: The User’s personalized electronic record within the Application, through which they can use the Digital Wallet Service.
  4. Clip AI Account: The electronic payment funds account that the User holds with Clip AI.
  5. Linked Cards: Valid and active credit, debit, charge, or other cards issued by a financial institution authorized in Mexico, of which the User is the holder and which are associated with the Digital Wallet Account to make credit and/or loading of funds transactions, to the extent such functionality is available in the Application.
  6. KYC (Know Your Customer): Customer identification and verification process through which the User’s information and documentation is collected and validated to comply with applicable anti‑money laundering, counter‑terrorist financing, and other regulatory requirements.
  7. Cash Network: Set of establishments, correspondents, convenience stores, or other third parties with whom agreements are in place to facilitate cash deposits and withdrawals through the Clip AI Account.
  8. P2P Transfer: Person‑to‑person funds transfer made through the Clip AI Account, using recipient identifiers such as phone number, email address, CLABE, or QR code.
  9. Bill Payment Services: Functionality within the Digital Wallet that allows the User to pay for services such as water, electricity, gas, toll tags (TAG), or others that may be enabled in the Application.
  10. Reward Program(s): Promotions, campaigns, or specific programs through which Clip Cartera Digital may grant the User bonuses, refunds, or rewards for using certain Digital Wallet functionalities, pursuant to the specific terms and conditions established for each case and made available to the User in the Application or through other means.
  11. Clip AI: Refers to Clip AI, S.A. de C.V., an Electronic Payment Funds Institution, the financial entity responsible for issuing, operating, and managing the account levels of electronic payment funds associated with the services that may be integrated into the Digital Wallet. Account levels and their attributes are governed by such entity’s specific T&C.
  12. User: Individual who registers in the Application, who may or may not have an account with Clip AI, and uses the Digital Wallet in accordance with these T&C.

Purpose

By accepting these T&C:

  1. Clip Cartera Digital makes the Digital Wallet available to the User, through which the User may:
  • Open and maintain a Digital Wallet Account.
  • Receive funds into the Clip AI Account through transactions with Linked Cards, it being understood that such cards must belong exclusively to the User and that they must at all times be the holder of both the Linked Card and the Digital Wallet Account, to the extent such functionality is available in the Application.
  • Make P2P transfers between Clip AI Account Users or other recipients, using phone number, email, CLABE, or QR code.
  • Make any type of payment, as well as bill payments (including but not limited to water, electricity, gas, TAG), in accordance with what is enabled in the Application.
  • Perform other operations and additional functionalities that Clip Cartera Digital may make available in the Application and communicate to the User.
  1. All matters relating to the Clip AI Account shall be governed by Clip AI’s terms and conditions, as Clip AI is the financial entity responsible for that account.

Registration and Digital Wallet Account

  1. User Registration
  • Individuals who are over 18 years of age, download the Application, and register their phone number may sign up as Users.
  • Registration will be carried out through the Application, where the User must provide the aforementioned data and expressly accept these Terms and Conditions and the applicable Privacy Notice.
  • The User undertakes to keep their information complete, accurate, and up to date, notifying Clip Cartera Digital of any material change by updating it in the Application within the reasonable time periods indicated therein.

  1. KYC Process and Linkage with Account Levels (Clip AI)
  • Any User who wishes to create or use an electronic payment funds account (for example, level 1 or level 3), or who already has one and wishes to change levels, must complete the corresponding KYC process.
  • The specific requirements, attributes, and limits of each account level will be defined and managed by Clip AI, in accordance with its own T&C and applicable regulations. Use of the Digital Wallet may be subject to the User having a particular account level, depending on the functionality in question.

Main Functionalities of the Digital Wallet

  1. Incoming Funds:

a) Credits via Linked Cards

  1. Only Users who have a Linked Card, that is, a valid and active card issued by a financial institution authorized in Mexico, of which the User is the holder and which is associated with their Digital Wallet Account in accordance with the linking process set out in the Application, may make credits to their Clip AI Account.
  2. The User acknowledges that transaction amount limits per operation, per day, or per period may apply, derived from applicable regulations, the account level they hold with Clip AI, and Clip Cartera Digital’s risk policies.
  3. The User acknowledges and agrees that they may not link business cards of which they are not the holder, or cards belonging to third parties for purposes of this functionality.

  1. P2P Transfers

  1. Users may make P2P Transfers at any time, using any of the recipient’s data listed below, as enabled in the Application. For these purposes, the User acknowledges that Clip Cartera Digital will only provide user information to Clip AI to enable transfer orders in Clip AI, which will execute the movements on the respective electronic payment funds accounts:

a) Valid and active Mexican mobile phone number.
b) Valid and active email address.
c) CLABE associated with an account that can receive funds.
d) QR code of the recipient account that is available.

  1. Amount limits and restrictions may be established based on account level, risk, regulation, and internal policies, which will be communicated to the User in the Application, without prejudice to the fact that the material execution of P2P Transfers is the responsibility of Clip AI.
  1. Bill Payments and Top‑Ups


a) Airtime Top‑Ups (Top Up)

  1. Users may, at any time, purchase airtime for phone numbers of participating carriers shown in the Application.
  2. The User must have a sufficient balance in their Clip AI Account to cover the top‑up amount.
  3. Clip Cartera Digital will act as an intermediary vis‑à‑vis airtime providers; therefore, the correct application of the airtime will be subject to the responsibility of the corresponding telecommunications service provider.

b) Bill Payments (water, electricity, gas, TAG, and others)

  1. The User may pay bills for services provided by the institutions and companies enabled in the Application, including but not limited to: water, electricity, gas, TAG, and others.
  2. For each service, the User must have sufficient funds in their Clip AI Account to cover the payment amount.
  3. Clip Cartera Digital will not be responsible for suspension, errors, interruptions, or quality of the service contracted by the User (water, electricity, gas, TAG, etc.); the late application of payments when attributable to the service provider, settlement networks, or causes beyond Clip Cartera Digital’s control; nor for errors in the data entered by the User (for example, incorrect service number).
  4. Once a payment has been instructed and, where applicable, processed, it will be non‑reversible unless applicable regulations and/or the provider expressly allow otherwise and the corresponding clarification procedures are followed.

  1. Inquiries and User Support
  1. The User will have access, within the Application, to consult transactions made to and from their Digital Wallet Account; and to profile, payments, settings, and account configuration sections, where they may update data, preferences, and other available parameters.
  2. The User may contact Customer Happiness through the contact channels enabled in the Application (help section, chat, phone, email, or others).
  3. Clip Cartera Digital may communicate with the User through the Application, email, SMS, push notifications, or other electronic means to provide information about the Service, notify changes to these T&C, request additional information for risk or compliance purposes, and inform about promotions, updates, or additional functionalities, in accordance with the Privacy Notice.

  1. Reward Programs

Clip Cartera Digital may, from time to time, offer Reward Programs within the Digital Wallet with respect to certain transactions, functionalities, or specific campaigns.

The User’s participation in any Reward Program will be subject to the specific terms and conditions established for each program, which will be made available to the User in the Application or through other means and may include, by way of example, eligibility requirements, minimum or maximum transaction amounts, time periods, bonus caps, exclusion scenarios, term, and grounds for cancellation of the benefit.

In the event of any discrepancy between these T&C and the specific terms and conditions of a Reward Program, these T&C shall prevail unless the specific terms expressly provide otherwise and such is permitted by applicable regulations.

Security, Authentication, and Risks

The User is solely responsible for maintaining the confidentiality of their access credentials to the Application (username, passwords, PIN, verification codes, or similar), not sharing them with third parties, and safeguarding the device from which they access the Digital Wallet.

Clip Cartera Digital may use different verification and authentication mechanisms, including but not limited to: a) access PIN or password, b) verification SMS, c) notifications or codes sent via WhatsApp or other messaging channels, and d) push notifications and additional security measures it deems necessary.

The User undertakes to follow at all times the security instructions communicated by Clip Cartera Digital and to immediately report any unauthorized use of their account or suspected unauthorized access.

Clip Cartera Digital may, for the protection of the User and the system, temporarily block, restrict, or suspend access to the Digital Wallet or certain functionalities when:

  • It detects unusual or suspicious transactions or those that may pose risk of fraud, money laundering, terrorist financing, or other illicit activities;
  • There are inconsistencies in the information provided by the User; or
  • It is necessary to comply with orders from competent authorities or applicable regulations.

Limits, Restrictions Risk Measures and Compensation Program

All transactions carried out through the Digital Wallet are subject to maximum amount limits per operation, per day, week, month, or period established in accordance with applicable regulations and internal risk policies; limits associated with the levels of electronic payment funds accounts managed by Clip AI, including limits in UDIs; and operational and monitoring controls implemented by Clip Cartera Digital.

Clip Cartera Digital and/or Clip AI may, at any time, adjust transaction limits, request additional documentation or information from the User, temporarily or permanently restrict the use of certain functionalities, and cancel or obtain refunds of transactions when necessary to comply with law, regulatory provisions, and risk policies.

In the case of transactions or patterns considered high‑risk, Clip Cartera Digital may temporarily withhold movements within the scope of the Digital Wallet Account while the corresponding clarifications are made, request clarifications or supporting documentation from the User, and report to the competent authorities when required by regulations.

Without prejudice to any rights to which the User may be entitled under applicable law and under the terms and conditions of the relevant electronic payment funds institution, Clip Cartera Digital may, at its sole discretion and without this implying any admission of liability, grant the User financial compensation for losses arising from unauthorized access to the electronic payment funds account used through the Digital Wallet, provided that (i) it is reasonably established that a third party unrelated to the User obtained and improperly used the User’s access credentials and, as a direct consequence thereof, carried out unauthorized transactions that disposed of funds from such account; (ii) the User holds a level 3 account with Clip AI, has been registered with the Digital Wallet for at least thirty (30) calendar days and has carried out at least three (3) prior transactions through it; and (iii) the User submits their claim within thirty (30) calendar days following the date of the transaction in question and provides the information and documentation requested by Clip Cartera Digital for investigation purposes. The maximum aggregate amount of compensation that Clip Cartera Digital may grant to the same User under this program, for the entire duration of their contractual relationship, shall be up to the equivalent of two thousand (2,000) Investment Units (UDIs), and in no event shall the compensation exceed the amount actually lost in the transaction(s) that Clip Cartera Digital acknowledges as eligible.

Compensation shall not be available where the loss arises, directly or indirectly, from acts or omissions attributable to the User, including, by way of example but without limitation: failure to safeguard their device or credentials; sharing or lending their account, password, PIN, verification codes or devices to third parties (including family members, employees, friends or roommates); voluntary transfers or disposals of funds; telephone or electronic fraud (for example, phishing, smishing, vishing or similar) in which the User themselves provides their data through non‑official links, sites, messages or channels; actions taken under deception or coercion (including extortion, kidnapping, threats, robbery or pyramid schemes); willful misconduct, gross negligence, unlawful activities or fraudulent claims by the User; failures, attacks or outages attributable to banks, payment processors, telecommunications networks or other third parties beyond the reasonable control of Clip Cartera Digital; events of force majeure or acts of God; claims submitted after the applicable deadline, claims that are duplicative of other mechanisms (for example, chargebacks, insurance or protection plans offered by other entities) or claims relating to events that have already been fully or partially compensated by any third party. Any compensation that Clip Cartera Digital may grant, where applicable, under this program will be exceptional and one‑off, shall not create any precedent for other cases and shall not amend the terms and conditions applicable to the Digital Wallet or to the corresponding electronic payment funds account.

Fees, Taxes, and Transaction History

Use of the Digital Wallet and its functionalities may incur fees, which will be communicated to the User through the Application itself, Clip Cartera Digital’s official websites, and/or specific communications sent to the User.

Applicable fees will include, where appropriate, Value Added Tax (VAT) or other taxes established under current law.

Details of transactions made, as well as fees charged, will be shown in the inquiry sections that the Application makes available to the User.

The User will be solely responsible for paying taxes arising from the transactions they carry out through the Digital Wallet, other than those that correspond directly to Clip Cartera Digital for its services.

Personal Data Protection

1. The User’s personal data will be processed by Clip Cartera Digital and, as applicable, by Clip AI and other related entities in accordance with the Federal Law on the Protection of Personal Data Held by Private Parties, its Regulations and applicable provisions, and the current Privacy Notice made available to the User through the Application and/or official websites.

2. The User acknowledges and agrees that the information provided in the KYC process may be used for identification, verification, transactional monitoring, and regulatory compliance purposes, that such information may be shared with competent authorities that request it in the exercise of their powers, and that it may be shared with companies within the same corporate group and business partners, provided this is done in accordance with the applicable Privacy Notice.

3. The User authorizes Clip AI and Payclip, Inc., as well as their subsidiaries and affiliates, to share their name and address (as provided during the onboarding process) for the purpose of managing the delivery of promotional programs, physical prizes or other incentives associated with such promotions corresponding to Clip Cartera Digital, S.A.P.I. de C.V. (“Clip Cartera Digital”), as well as with the external fulfillment provider engaged to make the physical delivery of such prizes, whether the address is obtained directly from Clip Cartera Digital or, as applicable, from Clip AI’s onboarding data. In all cases, such sharing shall be strictly limited to the purposes described above.

4. The User will hold Clip Cartera Digital harmless from any claim for non‑compliance in this regard.

Intellectual Property

Clip Cartera Digital and its affiliates hold all intellectual property rights over the Application, trademarks, trade names, logos and other distinctive signs, designs, interfaces, manuals, and documentation, and any technology or know‑how associated with the operation.

The User receives only a non‑exclusive, revocable, and non‑transferable license to use the Application and the Digital Wallet in accordance with these T&C, and no intellectual property rights are assigned as a result.

The User undertakes not to copy, modify, decompile, reverse engineer, publish, distribute, or sublicense the Application; not to use Clip Cartera Digital’s distinctive signs without prior written authorization; and not to use the Digital Wallet for unlawful, fraudulent purposes or contrary to these T&C.

Limitation of Liability

Without prejudice to applicable consumer protection regulations, Clip Cartera Digital will not, in any case, be liable for indirect, consequential, or lost‑profit damages, or for loss of data or other intangible losses arising from the use or inability to use the Digital Wallet; failures or interruptions attributable to third‑party service providers, including financial institutions, payment networks, telecommunications providers, correspondents, and bill payment service providers; errors in data provided by the User; or delays or inability to execute transactions resulting from force majeure or acts of God, including natural disasters, massive system failures, armed conflicts, orders from authorities, strikes, among others.

Clip Cartera Digital’s liability will be limited, as applicable, to the amount of the specific transaction and to the terms set forth in applicable law.

Termination and Amendments

The User may cancel use of the Digital Wallet at any time through the mechanisms enabled in the Application or by submitting a request via official contact channels, without prejudice to any outstanding payment or liability obligations and to the retention of information and records for the periods established by applicable regulations.

Clip Cartera Digital may temporarily suspend or terminate the User’s access to the Digital Wallet at any time when the User breaches these T&C or any other applicable policy; when there is risk of fraud, money laundering, terrorist financing, or any other illicit activity; when false, incomplete, or misleading information is provided; or when it is necessary to comply with provisions issued by competent authorities, or may generally terminate these T&C, subject to prior notice to the User as set out below.

Clip Cartera Digital may amend these T&C at any time. Amendments will be made available to the User through the Application and/or by electronic means, and will become effective on the date indicated in the corresponding notice or tacitly, if the User continues to use the Digital Wallet after the amendments are published.

If the User does not agree with the amendments, they must stop using the Digital Wallet and, where applicable, request termination of the relationship pursuant to the procedures indicated to them.

Governing Law and Jurisdiction

These T&C shall be governed by and construed in accordance with applicable laws of the United Mexican States.

For the interpretation and enforcement of these T&C, the parties submit to the jurisdiction of the competent courts of Mexico City, waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.

Notices

Any notice that Clip Cartera Digital must give the User in connection with these T&C may be made through the Application (internal or push notifications), the email account, or phone number registered by the User, and/or other electronic means made available.

Any notice that the User wishes to send to Clip Cartera Digital must be made through the official support channels indicated in the Application.

By selecting the option to continue using the Digital Wallet, the User declares that they have read and understand the content of these Terms and Conditions and accept them expressly and in a binding manner.

These Terms and Conditions are governed by their Spanish versions. Any translation is provided solely for convenience.
