Por medio del presente se le informa al Participante los Términos y Condiciones de uso (en los sucesivo los “Términos y Condiciones”) para el funcionamiento de la Campaña identificada como “Oferta de Bienvenida” (en lo sucesivo la “Campaña”).  

Los Participantes son responsables de leer con detenimiento los presentes Términos y Condiciones, los cuales pueden estar sujetos a futuras modificaciones, por lo que será obligación de los Participantes consultar periódicamente la versión vigente, la cual se encontrará disponible para consulta en la página https://miclip.mx/term/campana-bienvenida?embed=true. 

En caso de que los Participantes, en cualquier momento, se encuentren inconformes de manera total o parcial con los presentes Términos y Condiciones, así como con sus modificaciones, deberán abstenerse de manera inmediata de hacer uso de la Campaña.

Derivado de lo anterior, los Participantes que accedan y hagan uso de la Campaña, así como de los servicios o herramientas puestas a su disposición por Clip Cartera Digital, S.A.P.I. de C.V. (“Clip Cartera Digital”), aceptan que las actividades que se lleven a cabo se regirán de conformidad con lo establecido en los presentes Términos y Condiciones, así como en la legislación y disposiciones vigentes, los cuales los Participantes en este acto reconocen que han leído, entendido y, por lo tanto, se obligan al cumplimiento de los mismos.

Clip Cartera Digital, se reserva el derecho de modificar a su discreción las reglas de la Campaña en cualquier momento, en cuyo caso lo hará del conocimiento público, a través de los mismos medios de difusión en los que se publicó la Campaña. Clip Cartera Digital en ningún momento será responsable frente a los Participantes participantes por las modificaciones que se realicen a las reglas de la Campaña.

‍PRIMERA.- Definiciones

‍Aplicación: La aplicación móvil y/o web denominada “Mi Clip” para la prestación de los servicios relacionados con la Cartera Digital y en la cual se pondrá a disposición la Campaña.

‍Campaña: La campaña promocional denominada “Oferta de Bienvenida”, organizada por Clip Cartera Digital conforme a lo establecido en estos T&C.

‍Cartera Digital: Conjunto de funcionalidades provistas por Clip Cartera Digital a través de la Aplicación, que permiten al Usuario realizar operaciones tales como pagos de servicios, recargas, pagos con código QR y demás funciones que se habiliten de tiempo en tiempo, conforme a los Términos y Condiciones de Cartera Digital vigentes.

‍Clip AI: Clip AI, S.A. de C.V., Institución de Fondos de Pago Electrónico, entidad financiera responsable de la emisión, operación y niveles de cuenta de fondos de pago electrónico asociados, en su caso, al uso de la Cartera Digital, cuyos términos y condiciones aplican de manera independiente.

‍Cuenta de la Cartera Digital: Registro del Usuario dentro de la Aplicación, a través del cual puede acceder y utilizar la Cartera Digital y, en su caso, participar en la Campaña.

‍Cuenta de Clip AI: La cuenta de fondos de pago electrónico que el Usuario mantiene con Clip AI, sujeta a los términos y condiciones de dicha entidad y a la regulación aplicable.

‍Cashback: Beneficio promocional otorgado por Clip Cartera Digital al Usuario en el marco de la Campaña, consistente en un monto a favor aplicable exclusivamente dentro de la Cartera Digital para la realización de compras, pagos o transacciones en la Aplicación, que no se deposita como dinero, no constituye fondos de pago electrónico, no es de libre disposición, no puede retirarse en efectivo ni transferirse a otras cuentas, y puede estar sujeto a plazos de vigencia y prescripción, conforme a lo previsto en estos T&C.

‍Transacción Válida: Aquella operación realizada por el Usuario a través de Clip AI que cumpla con las características, montos mínimos, tipos de operación y demás requisitos establecidos en estos T&C para efectos de generar derecho al Cashback.

‍Usuario: Persona física que se registra en la Aplicación, cuenta con una Cuenta de la Cartera Digital y cumple con los requisitos establecidos en estos T&C para participar en la Campaña.

SEGUNDA.- Participantes, condiciones y mecánica de la Campaña.

1. Participantes

La Campaña se dirige exclusivamente a usuarios de la Cartera Digital (“Usuarios”) que tengan instalada la aplicación “Mi Clip” y cuenten con una Cuenta de la Cartera Digital; y no hayan completado su primera transacción  en Clip AI a la fecha de inicio de la Campaña, con base en los registros de Clip Cartera Digital.

Cualquier Usuario externo que eventualmente hubiera tenido acceso a la aplicación quedará sujeto a estos mismos términos, siempre que cumpla los requisitos anteriores.

‍Condiciones de la Campaña

Para participar en la Campaña y obtener Cashback, el Usuario deberá: i) Contar con un registro válido en la Aplicación, ii) En su caso, abrir una cuenta de fondos de pago electrónico en Clip AI y iii) completar el proceso de creación de cuenta correspondiente, en los términos definidos por Clip AI, cuando ello sea necesario para realizar las operaciones descritas en estos Términos y Condiciones (“T&C”), y cumplir con los Términos y Condiciones de Cartera Digital y con los términos y condiciones de Clip AI, así como con la legislación aplicable.

Determinadas funcionalidades (por ejemplo, depósitos o pagos de servicios) sólo estarán disponibles si el Usuario cuenta con una cuenta en Clip AI activa, de conformidad con la regulación y los T&C de Clip AI.

3. Mecánica de la Campaña y eventos que generan Cashback

Durante la vigencia de la Campaña, los Usuarios podrán obtener Cashback por realizar, por única ocasión, cada uno de los eventos siguientes:

• Primer depósito a la cuenta:

El Usuario que realice su primer depósito de al menos $50.00 M.N. (cincuenta pesos 00/100 M.N.) a su cuenta de Clip AI, a través de los canales habilitados en la Cartera Digital, o agregar una tarjeta de crédito, débito o prepago a su cuenta de Clip AI recibirá $50.00 M.N. (cincuenta pesos 00/100 M.N.) de Cashback.

Para efectos de estos T&C, se entenderá por “primer depósito” únicamente la primera transferencia electrónica de fondos realizada vía SPEI a la Cuenta de Clip AI del Usuario, proveniente de otra institución financiera, siempre que dicho depósito se procese a través de Clip AI y cumpla con el monto mínimo señalado. No se considerarán como “primer depósito” otros abonos, fondeos o movimientos a la cuenta, incluyendo altas o vinculación de tarjetas, transferencias internas, devoluciones, bonificaciones o cualquier concepto distinto de una transferencia SPEI. 

• Primera transacción con la Cartera Digital:

El Usuario que realice su primera transacción en su Cuenta de Clip AI de al menos $50.00 M.N. (cincuenta pesos 00/100 M.N.) mediante los canales habilitados en la Cartera Digital, recibirá $50.00 M.N. (cincuenta pesos 00/100 M.N.) de Cashback.

Para efectos de la Campaña, se considerarán transacciones válidas únicamente las que correspondan a: i. Pago de servicios (agua, luz, gas, TAG u otros habilitados en la Aplicación); y/o ii. Recarga de tiempo aire (mobile top up); y/o iii. Pagos con código QR habilitados en la Aplicación; y/o iv. Pagos sin contacto (NFC).

Quedan excluidas de esta Campaña las transferencias entre personas u otras operaciones que no estén expresamente señaladas como válidas.

Cada beneficio descrito en los incisos anteriores sólo podrá otorgarse una vez por Usuario y estará sujeto a validación por parte de Clip Cartera Digital y/o Clip AI.

TERCERA.- Límites de Cashback

El monto máximo de Cashback que un mismo Usuario podrá recibir en la Campaña será de $100.00 M.N. (cien pesos 00/100 M.N.), mismo que recibirá una vez completados, de conformidad con lo establecido, los tres eventos señalados en la cláusula segunda anterior.

El Usuario no podrá obtener Cashback adicional por realizar más de una vez cualquiera de las operaciones descritas; esto es, únicamente se reconocerán el primer depósito, y la primera transacción válida dentro de la vigencia de la Campaña.

CUARTA.- Naturaleza del Cashback, uso dentro de la aplicación y prescripción

El Cashback otorgado en la Campaña tiene la naturaleza de un beneficio promocional aplicable exclusivamente dentro de la Cartera Digital y se utilizará únicamente para la realización de compras, pagos dentro de la Aplicación que estén habilitadas para tal efecto.

En ningún caso el Cashback: i) Se depositará como dinero en la cuenta de fondos de pago electrónico del Usuario ni se sumará al saldo de la Cuenta de Clip AI; ii) Constituye fondos de pago electrónico, ni recursos de libre disposición del Usuario; iii) Podrá retirarse en efectivo, solicitarse en ventanilla, corresponsales, cajeros automáticos, Red de Efectivo u otros canales; iv) Podrá transferirse a otras cuentas de fondos de pago electrónico, cuentas bancarias o terceros; ni v) Podrá ser convertido en dinero en efectivo, vales, tarjetas regalo o cualquier otro instrumento distinto del aplicado dentro de la Cartera Digital.

El Cashback se aplicará como un monto a favor del Usuario, que únicamente podrá utilizarse para cubrir total o parcialmente montos a pagar dentro de la propia Aplicación (por ejemplo, pagos de servicios, recargas, pagos con QR u operaciones que Clip Cartera Digital habilite de tiempo en tiempo).

El Cashback contará con un plazo de vigencia. Transcurrido dicho plazo sin que el Usuario utilice el beneficio, el Cashback prescribirá, se cancelará automáticamente y dejará de estar disponible, sin que exista obligación de compensación, reembolso o pago alguno por parte de Clip Cartera Digital.

Los plazos de vigencia y, en su caso, las fechas de expiración y condiciones adicionales del Cashback se comunicarán al Usuario a través de la Aplicación, notificaciones, correos electrónicos u otros medios electrónicos.

El Cashback no es transferible a otros Usuarios ni canjeable por otros bienes o servicios distintos de los permitidos dentro de la Cartera Digital.

QUINTA.- Comunicación del beneficio y tiempos de acreditación

El Cashback se verá reflejado en la sección correspondiente de la Aplicación, en un plazo razonable posterior a la validación de cada evento, de conformidad con los procesos internos de Clip Cartera Digital.

Los tiempos de acreditación podrán variar por causas operativas, de conciliación o por intervenciones de terceros (procesadores, redes de pago, instituciones financieras), sin que ello implique responsabilidad alguna para Clip AI o Clip Cartera Digital más allá de lo previsto en la legislación aplicable.

SEXTA.- Restricciones y causas de exclusión

No serán elegibles para el Cashback: i) Operaciones que no cumplan con el monto mínimo de $50.00 M.N. (cincuenta pesos 00/100 M.N.), ii) Operaciones realizadas fuera de la vigencia de la Campaña, iii) Operaciones que sean canceladas, revertidas, no autorizadas o que resulten fallidas, iv) Usuarios que incumplan los Términos y Condiciones de Cartera Digital, los términos de Clip AI o la legislación aplicable, v) Operaciones que, a criterio de Clip Cartera Digital, se consideren fraudulentas, inusuales, sospechosas o realizadas con el propósito de obtener indebidamente el beneficio.

Restricción por dispositivo y usuario. Para efectos de la presente Campaña, únicamente podrá otorgarse un (1) Cashback por Usuario y por dispositivo móvil utilizado para acceder a la Aplicación. En consecuencia, solo un (1) usuario y un (1) celular podrán resultar elegibles para recibir el beneficio. Si Clip Cartera Digital detecta que un mismo dispositivo móvil ha sido utilizado para registrar, acceder o participar con dos o más cuentas distintas, dichos registros o participaciones no serán elegibles para recibir el Cashback, y Clip Cartera Digital podrá negar, cancelar o revertir el beneficio correspondiente, de conformidad con los presentes T&C.

Clip Cartera Digital podrá negar, cancelar o revertir el Cashback cuando detecte cualquiera de las situaciones anteriores, sin perjuicio de las acciones adicionales que correspondan conforme a la ley.

SÉPTIMA.- Relación con otros T&C

La participación en la Campaña se encuentra sujeta, además de estos T&C particulares, a los Términos y Condiciones de Cartera Digital y a los términos y condiciones que regulan la Cuenta de Clip AI, los cuales forman parte integrante de la relación contractual con el Usuario.

En caso de discrepancia entre estos T&C de Campaña y los Términos y Condiciones de Cartera Digital, prevalecerán estos últimos, salvo disposición en contrario permitida por la normativa aplicable.

OCTAVA.- Vigencia

La Campaña tendrá una vigencia del 29 de junio a las 0:00 horas al 31 de julio de 2026 a las 23:59. No obstante, Clip Cartera Digital podrá modificar la vigencia o terminar anticipadamente la Campaña, informando al Usuario a través de la Aplicación y/o por medios electrónicos.

NOVENA.- Modificaciones y cancelación

Clip Cartera Digital podrá modificar, actualizar o cancelar total o parcialmente la Campaña, así como estos T&C, en cualquier momento, informando al Usuario a través de la Aplicación u otros medios electrónicos.

La participación continuada del Usuario en la Campaña después de la publicación de modificaciones implicará su aceptación tácita de las mismas.

DÉCIMA.- Confidencialidad

El Usuario se obliga a mantener la confidencialidad de la información que reciba por parte de Clip Cartera Digital por cualquier medio, ya sea de manera verbal, escrita, gráfica o electrónica, y que tenga dicho carácter conforme a las disposiciones legales aplicables en los Estados Unidos Mexicanos y a no compartirlo con cualquier persona o entidad, excepto con Clip Cartera Digital, sus afiliadas, controladoras, cesionarios, y/o partes relacionadas conforme a lo establecido en el Aviso de Privacidad de Clip Cartera Digital.

DÉCIMA PRIMERA.- Propiedad Intelectual. ‍

El Usuario manifiesta en este acto que no tendrán ningún derecho sobre las marcas, patentes, nombres comerciales y/o derechos de propiedad industrial e intelectual propiedad de Clip Cartera Digital, por lo que los Usuarios no podrán hacer cambio o modificación alguno a dichos derechos.

Asimismo, en este acto Clip Cartera Digital hace del conocimiento del Usuario que, los diseños y/o marcas utilizadas en esta Campaña distintas a las marcas de Clip Cartera Digital, son de carácter puramente informativo, ya que éstas son propiedad de los titulares que ostentan su registro. Clip Cartera Digital no es responsable por el uso y tratamiento a las mismas que se le den.

DÉCIMA SEGUNDA.- Misceláneos.

Cualquier tipo de Acto Ilícito o de intento del mismo, al igual que cualquier incumplimiento a los Términos y Condiciones, dará lugar a que el Usuario no sea considerado para la Campaña, sin posibilidad de poder reingresar a ésta. Clip Cartera Digital podrá verificar el Acto Ilícito, el intento de Acto Ilícito, o el incumplimiento a estos Términos y Condiciones por cualquier medio que considere pertinente.

El Participante libera de toda responsabilidad a Clip Cartera Digital, a sus filiales, controladas, subsidiarias, directores, accionistas, gerentes, empleados y todos aquellos asociados de Clip Cartera Digital, en relación a, o de cualquier manera relacionada directa o indirectamente con estos Términos y Condiciones y/o la aceptación, o el uso/mal uso de la Campaña.

DÉCIMA.- Jurisdicción y legislación aplicable.

Los presentes Términos y Condiciones se regirán en todos sus puntos por las leyes vigentes en la República Mexicana. Cualquier controversia derivada de los presentes Términos y Condiciones, su existencia, validez, interpretación, alcance o cumplimiento, será sometida a las leyes aplicables y a los Tribunales competentes de la Ciudad de México.

Para la interpretación, cumplimiento y ejecución de estos Términos y Condiciones, Clip Cartera Digital y el Participante expresamente se someten a la jurisdicción de los tribunales competentes en la Ciudad de México, renunciando en consecuencia a cualquier fuero que en razón de su domicilio presente o futuro pudiera corresponderles.

TERMS AND CONDITIONS OF THE  “WELCOME OFFER” CAMPAIGN

By means of this document, the Participant is informed of the terms and conditions of use (hereinafter, the “Terms and Conditions” or “T&C”) applicable to the operation of the campaign identified as “Welcome Offer” (hereinafter, the “Campaign”).

Participants are responsible for carefully reading these Terms and Conditions, which may be subject to future amendments. It shall therefore be the Participants’ obligation to periodically consult the current version, which will be available for review on the web page  https://miclip.mx/term/campana-bienvenida-en?embed=true. 

If at any time Participants disagree, in whole or in part, with these Terms and Conditions or with any amendments thereto, they must immediately refrain from using the Campaign.

As a result of the foregoing, Participants who access and use the Campaign, as well as the services or tools made available to them by Clip Cartera Digital, S.A.P.I. de C.V. (“Clip Cartera Digital”), agree that the activities carried out shall be governed in accordance with these Terms and Conditions and with applicable laws and regulations, which the Participants hereby acknowledge having read and understood and, therefore, to which they agree to be bound.

Clip Cartera Digital reserves the right, at its sole discretion, to amend the rules of the Campaign at any time. In such case, it shall make such amendments public through the same means of communication in which the Campaign was originally published. Clip Cartera Digital shall not be liable to the Participants for any amendments made to the rules of the Campaign.

FIRST.- Definitions

App: The mobile and/or web app called “Mi Clip”, used to provide services related to the Digital Wallet and through which the Campaign will be made available.

Campaign: The promotional campaign called “Welcome Offer”, organized by Clip Cartera Digital pursuant to these T&C.

Digital Wallet: The set of functionalities provided by Clip Cartera Digital through the App, which allow the User to carry out transactions such as bill payments, top-ups, QR code payments and other functions that may be enabled from time to time, pursuant to the then-current Digital Wallet Terms and Conditions.

Clip AI: Clip AI, S.A. de C.V., Institución de Fondos de Pago Electrónico, a financial entity responsible for issuing, operating and managing the electronic payment funds account levels associated, where applicable, with the use of the Digital Wallet, whose own terms and conditions apply independently.

Digital Wallet Account: The User’s record within the App, through which they may access and use the Digital Wallet and, where applicable, participate in the Campaign.

Clip AI Account: The electronic payment funds account that the User holds with Clip AI, which is subject to the terms and conditions of such entity and to applicable regulations.

Cashback: A promotional benefit granted by Clip Cartera Digital to the User under the Campaign, consisting of an amount in the User’s favor that is applicable exclusively within the Digital Wallet for making purchases, payments or transactions in the App. Such benefit is not deposited as money, does not constitute electronic payment funds, is not freely disposable, cannot be withdrawn in cash or transferred to other accounts, and may be subject to validity periods and expiry, as provided in these T&C.

Valid Transaction: Any transaction carried out by the User through Clip AI that meets the characteristics, minimum amounts, transaction types and other requirements set forth in these T&C for purposes of entitling the User to receive Cashback.

User: Any individual who registers in the App, holds a Digital Wallet Account and meets the requirements set forth in these T&C to participate in the Campaign.

SECOND.-  Participants, conditions and mechanics of the Campaign

a) Participants

The Campaign is intended exclusively for internal test users of the Digital Wallet (the “Users”) who: (i) have the “Mi Clip” App installed and hold a Digital Wallet Account; and (ii) have not completed their first transaction in Clip AI as of the Campaign start date, based on Clip Cartera Digital’s records.

Any external User who may have gained access to the App will be subject to these same terms, provided that they meet the above-mentioned requirements.

b) Conditions of the Campaign

To participate in the Campaign and obtain Cashback, the User must:
i) hold a valid registration in the App;
ii) where applicable, open an electronic payment funds account with Clip AI; and
iii) complete the relevant account opening process, as defined by Clip AI, when necessary to perform the transactions described in these Terms and Conditions (“T&C”); and comply with the Digital Wallet Terms and Conditions and with Clip AI’s terms and conditions, as well as with applicable law.

Certain functionalities (for example, deposits or bill payments) will only be available if the User has an active Clip AI Account, in accordance with applicable regulations and Clip AI’s T&C.

c) Campaign mechanics and events that generate Cashback

During the Campaign term, Users may obtain Cashback for carrying out, on a one-time basis, each of the following events:

• First deposit to the account:
  The User who makes their first deposit of at least $50.00 MXN (fifty pesos 00/100 M.N.) into their Clip AI Account, through the channels enabled in the Digital Wallet, or link a credit, debit or prepayment card to  their Clip AI Account will receive $50.00 MXN (fifty five pesos 00/100 M.N.) in Cashback.

For purposes of these T&C, “first deposit” shall mean exclusively the first electronic transfer of funds made via SPEI to the User’s Clip AI Account, originating from another financial institution, provided that such deposit is processed through Clip AI and meets the minimum amount specified. Other credits, funding transactions or movements to the account shall not be considered a “first deposit,” including card registration or linking, internal transfers, refunds, bonuses or any concept other than a SPEI transfer.

• First transaction with the Digital Wallet:
  The User who makes their first transaction from their Clip AI Account for at least $50.00 MXN (fifty pesos 00/100 M.N.) using the channels enabled in the Digital Wallet will receive $50.00 MXN (fifty pesos 00/100 M.N.) in Cashback.

For purposes of the Campaign, only the following will be deemed valid transactions: i) bill payments (water, electricity, gas, toll tags (TAG) or others enabled in the App); and/or ii) mobile airtime top-ups; and/or iii) QR code payments enabled in the App ; and/or iv) NFC (contactless) payments enabled in the App.

Person-to-person transfers or any other transactions not expressly identified as valid are excluded from this Campaign.

Each of the above-described benefits may only be granted once per User and will be subject to validation by Clip Cartera Digital and/or Clip AI.

THIRD.- Cashback limits

The maximum amount of Cashback that a User may receive under the Campaign is $100.00 MXN (one hundred pesos 00/100 M.N.) which shall be granted upon the completion of the three events specified in the preceding Clause Second, in accordance with the established terms.

The User may not obtain additional Cashback for performing any of the above transactions more than once; that is, only the first deposit and the first valid transaction during the Campaign term will be recognized.

FOURTH.- Nature of the Cashback, use within the App and expiry

The Cashback granted under the Campaign is a promotional benefit that is applicable exclusively within the Digital Wallet and may only be used to make purchases and payments within the App that are enabled for such purpose.

Under no circumstances shall the Cashback: i) be deposited as money into the User’s electronic payment funds account or be added to the balance of the Clip AI Account; ii) constitute electronic payment funds or funds freely disposable by the User; iii) be withdrawn in cash, requested at bank branches, correspondents, ATMs, cash networks or other channels; iv) be transferred to other electronic payment funds accounts, bank accounts or third parties; or v) be converted into cash, vouchers, gift cards or any other instrument other than its App within the Digital Wallet.

The Cashback will be applied as an amount in the User’s favor that may only be used to cover, in whole or in part, amounts payable within the App itself (for example, bill payments, top-ups, QR payments or other transactions that Clip Cartera Digital may enable from time to time).

The Cashback will be subject to a validity period. Once such period has elapsed without the User having used the benefit, the Cashback shall expire, be automatically cancelled and cease to be available, without giving rise to any obligation on the part of Clip Cartera Digital to provide compensation, reimbursement or payment of any kind.

The validity periods and, where applicable, expiry dates and additional conditions applicable to the Cashback will be communicated to the User through the App, notifications, emails or other electronic means.

The Cashback is non-transferable to other Users and may not be exchanged for any goods or services other than those permitted within the Digital Wallet.

FIFTH.- Communication of the benefit and crediting times

The Cashback will be reflected in the corresponding section of the App within a reasonable period after each event has been validated, in accordance with Clip Cartera Digital’s internal processes.

Crediting times may vary due to operational or reconciliation reasons, or due to the involvement of third parties (processors, payment networks, financial institutions), without creating any liability for Clip AI or Clip Cartera Digital beyond what is set forth under applicable law.

SIXTH.-  Restrictions and grounds for exclusion

The following shall not be eligible for Cashback: i) transactions that do not meet the minimum amount of $50.00 MXN (fifty pesos 00/100 M.N.); ii) transactions carried out outside the Campaign term; iii) transactions that are cancelled, reversed, not authorized or that fail; iv) Users who are in breach of the Digital Wallet Terms and Conditions, Clip AI’s terms or applicable law; and v) transactions that, in Clip Cartera Digital’s view, are fraudulent, unusual, suspicious or carried out for the purpose of unduly obtaining the benefit.

Device and user restriction. For purposes of this Campaign, only one (1) Cashback may be granted per User and per mobile device used to access the App. Accordingly, only one (1) user and one (1) mobile phone may be eligible to receive the benefit. If Clip Cartera Digital detects that the same mobile device has been used to register, access or participate with two or more different accounts, such registrations or participations will not be eligible to receive the Cashback, and Clip Cartera Digital may deny, cancel or reverse the corresponding benefit in accordance with these T&C.

Clip Cartera Digital may deny, cancel or reverse the Cashback when any of the above situations is detected, without prejudice to any additional actions it may take in accordance with law.

SEVENTH.- Relationship with other T&C

Participation in the Campaign is subject not only to these specific T&C, but also to the Digital Wallet Terms and Conditions and to the terms and conditions governing the Clip AI Account, all of which form an integral part of the contractual relationship with the User.

In the event of any discrepancy between these Campaign T&C and the Digital Wallet Terms and Conditions, the latter shall prevail, except where otherwise permitted under applicable regulations.

EIGHTH.- Term

The Campaign will run from June 29th at 00:00 hours until July 31st, 2026 at 23:59 hours. Notwithstanding the foregoing, Clip Cartera Digital may amend the term or terminate the Campaign early, by informing the User through the App and/or by electronic means.

NINTH.- Amendments and cancellation

Clip Cartera Digital may amend, update or cancel the Campaign, in whole or in part, as well as these T&C, at any time, by informing the User through the App or other electronic means.

The User’s continued participation in the Campaign after publication of any amendments shall constitute tacit acceptance of such amendments.

TENTH.- Confidentiality

The User agrees to maintain the confidentiality of any information received from Clip Cartera Digital by any means, whether verbal, written, graphic or electronic, that is deemed confidential pursuant to applicable laws in the United Mexican States, and not to share it with any person or entity, except with Clip Cartera Digital, its affiliates, parent companies, assignees and/or related parties, as set forth in Clip Cartera Digital’s Privacy Notice.

ELEVENTH.- Intellectual Property

The User hereby acknowledges that they do not and will not hold any rights over the trademarks, patents, trade names and/or industrial and intellectual property rights owned by Clip Cartera Digital. Accordingly, Users may not make any changes or modifications to such rights.

Clip Cartera Digital hereby informs the User that any designs and/or trademarks used in this Campaign that are different from Clip Cartera Digital’s trademarks are included for informational purposes only, as they are the property of their respective registered owners. Clip Cartera Digital is not responsible for the use and treatment given to such third-party elements.

TWELFTH.- Miscellaneous

Any unlawful act or attempted unlawful act, as well as any breach of these Terms and Conditions, will result in the User being excluded from the Campaign, without the possibility of re-entering it. Clip Cartera Digital may verify any unlawful act, attempted unlawful act or breach of these Terms and Conditions by any means it deems appropriate.

The Participant releases Clip Cartera Digital; its affiliates, controlled entities, subsidiaries; directors, shareholders, managers, employees; and all of Clip Cartera Digital’s associates from any and all liability in relation to, or in any way directly or indirectly arising from, these Terms and Conditions and/or the acceptance or use/misuse of the Campaign.

THIRTEENTH.- Jurisdiction and applicable law

These Terms and Conditions shall be governed in all respects by the laws in force in the United Mexican States. Any dispute arising out of these Terms and Conditions, including their existence, validity, interpretation, scope or performance, shall be submitted to applicable law and to the competent courts of Mexico City.

For the interpretation, performance and enforcement of these Terms and Conditions, Clip Cartera Digital and the Participant expressly submit to the jurisdiction of the competent courts of Mexico City, expressly waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.

These Terms and Conditions are governed by their Spanish versions. Any translation is provided solely for convenience.
