TERMS AND CONDITIONS FOR PARTICIPATION IN THE PROMOTION “CLIPEA Y GANA”

These Terms and Conditions of use (hereinafter, the “Terms and Conditions”) govern the operation of the promotion identified as “Clipea y Gana” (hereinafter, the “Promotion”) and are hereby made available to the Participant.

Participants are responsible for carefully reading these Terms and Conditions, which may be subject to future amendments. Accordingly, it shall be the Participants’ obligation to periodically review the current version, which will be available for consultation on the following website: https://miclip.mx/term/clipea-y-gana?embed=true.

If at any time the Participants disagree, in whole or in part, with these Terms and Conditions or any amendments thereto, they must immediately refrain from using the Promotion.

As a result of the foregoing, Participants who access and use the Promotion, as well as any services or tools made available to them by Clip Cartera Digital, S.A.P.I. de C.V. (“Clip Cartera Digital”), accept that all activities carried out will be governed in accordance with these Terms and Conditions, as well as applicable laws and regulations in force, all of which the Participants hereby acknowledge to have read and understood and, therefore, agree to comply with.

Clip Cartera Digital reserves the right, at its sole discretion, to modify the rules of the Promotion at any time. Any such modifications will be made public through the same means of communication used to publish the Promotion. Clip Cartera Digital shall in no event be liable to the Participants for any changes made to the rules of the Promotion.

FIRST.- Definitions.

Illicit Activities: Any act, operation or transaction carried out in contravention of Mexican law that results in the commission of a crime or an administrative sanction, or involves proceeds derived from the commission of a crime whose legitimate origin cannot be demonstrated.

Privacy Notice: A document made available to the holder of personal data, in physical, electronic or any other format, prepared by the data controller for the purpose of informing the holder about the purposes for which their personal data will be processed from the moment such data are collected to carry out any procedure or service with Clip Cartera Digital, S.A.P.I. de C.V., which is available at https://www.clip.mx/privacidad#cartera_digital.

Clip Cartera Digital: Refers to Clip Cartera Digital, S.A.P.I. de C.V. Electronic Payment Funds Account: Refers to the electronic payment funds account held with Clip AI, S.A. de C.V., an Electronic Payment Funds Institution, of which the User is the holder, operated through the Clip Cartera Digital Platform and enabled for the execution of purchase transactions and promotional bonus redemptions pursuant to these Terms and Conditions.

Electronic Payment Funds Account: Refers to the electronic payment funds account held with Clip AI, S.A. de C.V., an Electronic Payment Funds Institution, of which the User is the holder, operated through the Clip Cartera Digital Platform and enabled for the execution of purchase transactions and promotional bonus redemptions pursuant to these Terms and Conditions.

Coupon: Promotional benefit granted by Clip Cartera Digital to the Participant, consisting of an amount or discount in favor applicable exclusively within the Digital Wallet for the execution of purchases, payments, or transactions on the Platform. The Coupon is not deposited as money nor is it added to the balance of the Clip AI Account (IFPE), does not constitute funds freely disposable by the Participant or electronic payment funds, cannot be withdrawn in cash or transferred to other accounts, and may be subject to validity and expiration periods, as well as maximum amounts and specific rules, in accordance with the provisions of these T&Cs and the specific terms of each campaign.

Participant: An individual who is the holder of an active Electronic Payment Funds Account with Clip AI, S.A. de C.V., an Electronic Payment Funds Institution, and who has met the participation requirements of the Promotion, including completing five (5) successful transactions, as set forth in these Terms and Conditions.

Platform: The digital platform, mobile application and/or technological systems through which Clip Cartera Digital, S.A.P.I. de C.V. operates, and by means of which the User may access their Electronic Payment Funds Account, carry out transactions and participate in the Promotion.

Clip AI: Refers to Clip AI, S.A. de C.V., an Electronic Payment Funds Institution.

Benefits Program or Promotion: The program called “Clipea y Gana”, created and administered by Clip Cartera Digital, S.A.P.I. de C.V., through which Participants may obtain rewards in accordance with the mechanics, phases, conditions and restrictions set forth in these Terms and Conditions.

Rewards Room: Space on the Platform where promotional bonuses or available rewards are displayed for Users, in accordance with the provisions set forth in these Terms and Conditions.

Successful Transaction: A purchase transaction carried out by the User through their Clip Wallet that has been duly authorized, processed and recorded as completed in Clip Cartera Digital's systems, without having been canceled, declined, or reversed for any reason. The only participating operations carried out on the Platform are: i) service payments; ii) QR payments; iii) contactless payments.

User: An individual who is the holder of an active Electronic Payment Funds Account through Clip Cartera Digital, regardless of whether or not they participate in the Promotion.

Term: The period during which the Promotion will be active, which will consist of seven (7) consecutive weekly phases, starting on June 1, 2026 and ending on July 19, 2026, each with a start and end date and time previously defined by Clip Cartera Digital and communicated through its official channels.

SECOND.- Participants, mechanics and conditions of the Promotion.

Through this Promotion, the User may participate in the Benefits Program when they complete five (5) Successful Transactions using their Electronic Payment Funds Account, each for a minimum amount of $50.00 MXN (fifty pesos 00/100 M.N.), with the last transaction being used for registration and for assigning the places in the Rewards Room.

Once the Participant has completed their fifth (5th) Successful Transaction, Clip Cartera Digital will record in its system the exact date and time at which such transaction was made. This information will be used as an ordering criterion to determine the place the Participant will occupy in the Rewards Room, in which the places and corresponding rewards are previously defined and listed, as set forth in these Terms and Conditions.

  • Phase 1 – Week 1
    Term: June 1, 2026 from 0:00 hours to June 7 at 23:59.

On a first‑come, first‑served basis, the first users who meet the condition described in the preceding paragraphs will gain access to the Phase 1 Rewards Room, in which all Participants who enter will receive a reward, pursuant to the following list:

The figures displayed will be directly linked to the place the Participant obtained upon entering the Rewards Room, automatically determining the corresponding reward.

Users who have entered Rewards Rooms in Phase 1 may participate again in this phase, as well as in subsequent phases, provided that places are available and in accordance with the general order in which transactions are generated.

The unveiling, assignment and redemption of rewards will be carried out through the display of three (3) figures on the board, linked to the place at which the Participant entered the Rewards Room.

    Term: June 15, 2026 from 0:00 hours to June 21 at 23:59.

The same first‑come, first‑served mechanism will apply for the first 14,850 users, who will gain access to the Phase 3 Rewards Room and receive a reward pursuant to the following list:

THIRD.- Participation and reward limits.

Each Participant who enters a Rewards Room will have a single entry per phase and, therefore, may obtain only one (1) reward per phase, according to the place they occupy in the corresponding list.

If a user participates in four (4) phases, they may obtain up to a maximum of four (4) rewards, one for each phase in which they participate.

FOURTH.- Rewards allocation.

Rewards will be allocated in accordance with the list previously defined for each phase, based on the following criteria:

  • reward allocation is not based on chance, probability or raffles, but rather on a predefined pattern linked to the order of entry into the Rewards Room.
  • The order and type of rewards awarded are detailed by phase in Clause Second of these Terms and Conditions.

FIFTH.- Cash voucher rewards and redemption into the Account.

Some rewards will be Coupons with nominal value, which can be redeemed in accordance with the provisions set forth in the Coupon Terms and Conditions of the Platform. To be used, the Coupon shall be applied as an amount in favor of the Participant, which may only be used to cover, totally or partially, amounts payable within the Platform itself (for example, service payments, recharges, QR payments, online contactless transactions, or operations that Clip Cartera Digital enables from time to time as eligible for Coupon use).

The Coupon shall have a validity period expressly indicated on the Coupon. Once the validity period has elapsed without the Participant using the corresponding benefit, the Coupon will expire, automatically be canceled, and cease to be available, without any obligation for compensation, reimbursement, or payment on the part of Clip Cartera Digital.

The Coupon is not transferable to other users nor exchangeable for goods or services other than those permitted within the Digital Wallet, unless expressly indicated otherwise in the specific rules of a specific Coupon Campaign and within the framework of applicable regulations.

Coupons may be subject to usage restrictions derived from the payment method selected by the User (such as when the payment page contains the legend “Only card” or “Only balance”). These restrictions may be waived if the value of the Coupon covers the entirety of the payment amount.

SIXTH.- Restrictions.

Participants will be subject to the following restrictions:

  • Each Participant may obtain a limited number of rewards in accordance with the maximum permitted per phase;
  • rewards are not transferable and may not be exchanged for other goods, services or money other than as expressly indicated; and
  • Clip Cartera Digital may at any time verify compliance with the participation requirements and, if it detects fraud, abuse, misuse of the Promotion or any breach of these Terms and Conditions, it may immediately disqualify the Participant, without any liability wGorra original de México oever.

SEVENTH.- Confidentiality.

The Participant undertakes to keep confidential any information received from Clip Cartera Digital by any means, whether verbal, written, graphic or electronic, that has such confidential nature under the applicable legal provisions in the United Mexican States, and not to disclose it to any person or entity, except to Clip Cartera Digital, its affiliates, parent companies, assignees and/or related parties, as set forth in Clip Cartera Digital’s Privacy Notice.

EIGHTH.- Intellectual property.

The Participant hereby acknowledges that they shall have no rights over the trademarks, patents, trade names and/or industrial or intellectual property rights owned by Clip Cartera Digital, and therefore Participants shall not make any change or modification to such rights.

Likewise, Clip Cartera Digital hereby informs the Participant that any designs and/or trademarks used in this Promotion that are different from Clip Cartera Digital’s trademarks are for information purposes only, as they are owned by the holders of the corresponding registrations. Clip Cartera Digital is not responsible for the use or treatment given to such trademarks.

NINTH.- Miscellaneous.

Any Illicit Act or attempted Illicit Act, as well as any breach of these Terms and Conditions, will result in the Participant not being considered for the Promotion and being unable to re‑enter it. Clip Cartera Digital may verify the Illicit Act, the attempted Illicit Act or the breach of these Terms and Conditions by any means it deems appropriate.

The Participant releases Clip Cartera Digital, its affiliates, controlled entities, subsidiaries, directors, shareholders, managers, employees and any other associates of Clip Cartera Digital from all liability arising from or in any way related, directly or indirectly, to these Terms and Conditions and/or the acceptance or use/misuse of the Promotion.

For the purposes of this Promotion, there is an exclusion that applies to all personnel of Clip Cartera Digital, S.A.P.I. de C.V. and/or any other company that is part of its business group, including, but not limited to, directors, employees, and any person who provides services under any legal or contractual regime to said entities. Consequently, such personnel shall not be considered a Participant for the purposes of these Terms and Conditions, nor shall they be entitled to receive any reward.

TENTH.- Jurisdiction and applicable law.

These Terms and Conditions shall be governed in all respects by the laws in force in the United Mexican States. Any dispute arising out of or in connection with these Terms and Conditions, including their existence, validity, interpretation, scope or performance, shall be submitted to the applicable laws and to the competent courts of Mexico City.

For the interpretation, performance and enforcement of these Terms and Conditions, Clip Cartera Digital and the Participant expressly submit to the jurisdiction of the competent courts of Mexico City, and therefore waive any other jurisdiction that may correspond to them by reason of their present or future domicile.

These Terms and Conditions are governed by their Spanish versions. Any translation is provided solely for convenience.
