GENERAL COUPON TERMS AND CONDITIONS

By means of this document, the Participant is informed of the terms and conditions of use (hereinafter, the “Terms and Conditions” or “T&C”) applicable to the operation of the Coupon Campaigns and/or promotions offered by Clip Cartera Digital, S.A.P.I. de C.V. (hereinafter, the “Coupon Campaigns” and “Clip Cartera Digital”, respectively), which are carried out through the Digital Wallet in the “Mi Clip” App.
Participants are responsible for carefully reading these Terms and Conditions, which may be subject to future amendments. It shall therefore be the Participants’ obligation to periodically consult the current version, which will be available for review on the web page and/or electronic means that Clip Cartera Digital makes available.
If at any time Participants disagree, in whole or in part, with these Terms and Conditions or with any amendments thereto, they must immediately refrain from using the Coupon Campaigns.
As a result of the foregoing, Participants who access and use the Coupon Campaigns, as well as the services or tools made available to them by Clip Cartera Digital, agree that the activities carried out shall be governed in accordance with these Terms and Conditions and with applicable laws and regulations, which the Participants hereby acknowledge having read and understood and, therefore, to which they agree to be bound.
Clip Cartera Digital reserves the right, at its sole discretion, to amend the rules of the Coupon Campaigns at any time. In such case, it shall make such amendments public through the same means of communication in which the applicable Coupon Campaigns were originally published.
Clip Cartera Digital shall not be liable to the Participants for any amendments made to the rules of the Coupon Campaigns, beyond what is provided under applicable law.
FIRST.- Definitions
For purposes of these Terms and Conditions, the terms capitalized herein shall have the meanings set forth below, whether used in the singular or plural, as applicable:
App: The mobile and/or web app called “Mi Clip”, used to provide services related to the Digital Wallet and through which the Coupon Campaigns will be made available.
Coupon Campaigns: Any campaign, program, promotion or temporary Coupon or Promotional Benefit that Clip Cartera Digital organizes and makes available to Users through the Digital Wallet, pursuant to these T&C and to the specific terms that may be published for each individual campaign.
Digital Wallet: The set of functionalities provided by Clip Cartera Digital through the App, which allow the User to carry out transactions such as bill payments, top-ups, QR code payments and other functions that may be enabled from time to time, pursuant to the then-current Digital Wallet terms and conditions.
Clip AI: Clip AI, S.A. de C.V., Institución de Fondos de Pago Electrónico, a financial entity responsible for issuing, operating and managing the electronic payment funds account levels associated, where applicable, with the use of the Digital Wallet, whose own terms and conditions apply independently.
Digital Wallet Account: The User’s record within the App, through which they may access and use the Digital Wallet and, where applicable, participate in the Coupon Campaigns.
Clip AI Account: The electronic payment funds account that the User holds with Clip AI, which is subject to the terms and conditions of such entity and to applicable regulations.
Coupon Wallet: The logical record within the Digital Wallet where Coupons or Promotional Benefits issued to the User are viewed, managed, and credited.
Coupon or Promotional Benefit: A promotional benefit granted by Clip Cartera Digital to the User under a Coupon Campaign, consisting of an amount or discount in the User’s favor that is applicable exclusively within the Digital Wallet for making purchases, payments or transactions in the App. The Coupon or Promotional Benefit is not deposited as money or added to the balance of the Clip AI Account (IFPE), does not constitute funds freely disposable by the User or electronic payment funds, cannot be withdrawn in cash or transferred to other accounts, and may be subject to validity periods and expiry, as well as to maximum amounts and specific rules, as provided in these T&C and in the specific terms of each campaign.
Valid Transaction: Any transaction carried out by the User through the Digital Wallet and/or Clip AI that meets the characteristics, minimum amounts, transaction types, channels and other requirements set forth in these T&C and in the specific rules of each Coupon Campaign for purposes of entitling the User to receive Coupon or Promotional Benefit.
User: Any individual who registers in the App, holds a Digital Wallet Account and meets the requirements set forth in these T&C and, where applicable, in the specific terms of the corresponding Coupon Campaign, in order to participate and become entitled to receive Coupon or Promotional Benefit.
SECOND.- Participants, conditions and general mechanics of the Coupon Campaigns
a) Participants
The Coupon Campaigns are intended for Digital Wallet Users who: i) Have the “Mi Clip” App installed;
ii) Hold an active Digital Wallet Account; and iii) Meet the eligibility, segmentation, tenure, usage and other specific requirements that Clip Cartera Digital defines for each Coupon Campaign (for example, new users, recurring users, users invited to use a particular feature, etc.), which will be communicated in the corresponding campaign communication (push notifications, email, banners, promotions section in the App or other electronic means).
Any user who does not meet the above requirements or who accesses the communication indirectly or by mistake will not be eligible for Coupon or Promotional Benefit, even if they are able to view the Coupon Campaign.
b) General conditions of participation
To participate in the Coupon Campaigns and, where applicable, receive Coupon or Promotional Benefit, the User must, as applicable: i) Hold a valid registration in the App and an active Digital Wallet Account; ii) Where applicable, open and maintain an active Clip AI Account and complete the relevant account opening process, as defined by Clip AI, when necessary to perform the transactions described in these T&C or in the specific rules of the relevant Coupon Campaign; and iii) Comply at all times with the Digital Wallet Terms and Conditions, with Clip AI’s terms and conditions and with applicable law, including anti-money laundering, counter-terrorism financing, data protection and any other relevant regulations.
Certain functionalities (for example, deposits, bill payments, top-ups, QR payments or others) will only be available if the User has an active and duly operating Clip AI Account, in accordance with applicable regulations and Clip AI’s T&C.
Clip Cartera Digital reserves the right to limit participation in the Coupon Campaigns to certain Users (for example, to a subset of users with specific usage or transactional behavior), based on commercial, risk, operational or user-experience criteria, which will be communicated, as applicable, through the campaign’s communication channels.
c) General mechanics of the Coupon Campaigns
During the term of the various Coupon Campaigns launched by Clip Cartera Digital, Users may obtain Coupon or Promotional Benefit by performing one or more Valid Transactions, in accordance with the mechanics, amounts, percentages, limits, eligibility criteria and other specific rules indicated for each campaign.
Without limiting the generality of the foregoing, the Coupon Campaigns may include, by way of example and without limitation, one or more of the following schemes:
- Fixed-event Coupon or Promotional Benefit (for example, a fixed Coupon or Promotional Benefit amount for performing a certain action for the first time or within a given period).
- Usage milestone Coupon or Promotional Benefit (for example, upon reaching a certain number of transactions, a certain accumulated amount or the use of a new feature).
- Tiered or differentiated Coupon or Promotional Benefit by type of service, channel, merchant, amount, frequency of use or other criteria determined by Clip Cartera Digital.
For each Coupon Campaign, Clip Cartera Digital will communicate to the User, through the relevant electronic means, at least the following information: i) The types of transactions or operations considered as Valid Transactions; ii) The amount of applicable Coupon or Promotional Benefit and, where applicable, the limits per transaction and/or per User; iii) The term of the Coupon Campaign; iv) The approximate Coupon or Promotional Benefit crediting times; and v) Any additional applicable conditions or restrictions (for example, the exclusion of certain services, channels or users).
Each Coupon or Promotional Benefit benefit described for a specific Coupon Campaign may only be granted under the terms, number of times and limits indicated in that campaign’s specific rules and will always be subject to validation by Clip Cartera Digital and/or Clip AI, as applicable.
THIRD.- Coupon or Promotional Benefit limits
The maximum amount of Coupon or Promotional Benefit that a single User may receive under a given Coupon Campaign shall be as expressly set forth in that campaign’s specific rules. The Coupon Wallwt shall display maximum of twenty Coupons at a time. Without prejudice to the foregoing, Clip Cartera Digital may set global budget or availability limits for a specific Coupon Campaign (for example, “while supplies last” or “up to a total Coupon or Promotional Benefit pool of X to be distributed among all Users”). In such cases, once the global limit has been reached, Clip Cartera Digital may terminate the Coupon Campaign or suspend the generation of new Coupon or Promotional Benefit, which will be communicated to Users through the relevant channels.
Under no circumstances may a User obtain additional Coupon or Promotional Benefit by performing more than once any transaction described as unique or limited per User within the relevant Coupon Campaign. Any attempt to split transactions, simulate transactions or carry out actions that, in Clip Cartera Digital’s opinion, are aimed at unduly obtaining more Coupon or Promotional Benefit may result in the cancellation and/or reversal of the benefit and in the User’s exclusion from the Coupon Campaign and, potentially, from future campaigns.
FOURTH.- Nature of the Coupon or Promotional Benefit, use within the App and expiry
The Coupon or Promotional Benefit granted under the Coupon Campaigns is a promotional benefit that is applicable exclusively within the Digital Wallet and may only be used to make purchases, payments and/or transactions within the App that are enabled for such purpose. It is understood that only one Coupon may be used per transaction unless the Coupon Campaign expressly allows otherwise.
Under no circumstances shall the Coupon or Promotional Benefit: i) Be deposited as money into the User’s electronic payment funds account or be added to the balance of the Clip AI Account; ii) Constitute electronic payment funds or funds freely disposable by the User; iii) Be withdrawn in cash, requested at bank branches, correspondents, ATMs, cash networks or other channels; iv) Be transferred to other electronic payment funds accounts, bank accounts or third parties; or v) Be converted into cash, vouchers, gift cards or any other instrument other than its application within the Digital Wallet.
The Coupon or Promotional Benefit will be applied as an amount in the User’s favor that may only be used to cover, in whole or in part, amounts payable within the App itself (for example, bill payments, top-ups, QR payments or other transactions that Clip Cartera Digital may enable from time to time as eligible for the use of Coupon or Promotional Benefit).
The validity periods and, where applicable, expiry dates and additional conditions applicable to the Coupon or Promotional Benefit will be communicated to the User through the App, notifications, emails or other electronic means, including, where possible, the benefits or Coupon or Promotional Benefit history section of the Digital Wallet.
The Coupon or Promotional Benefit is non-transferable to other Users and may not be exchanged for any goods or services other than those permitted within the Digital Wallet, unless expressly stated otherwise in the specific rules of a given Coupon Campaign and in compliance with applicable regulations.
Coupons may be subject to usage restrictions derived from the payment method selected by the User (such as when the payment page contains the legend “Only card” or “Only balance”). These restrictions may be exempted if the value of the Coupon covers the entire amount of the payment.
In the event that different payment methods are applied, the prevalence of the same will be as follows: Coupon, Cashback (in accordance with the corresponding Terms and Conditions), balance, and card payment.
Some Coupons may be restricted to specific merchants or merchant categories, or subject to a minimum order amount requirement. Such information will be indicated in the Coupon details. Coupons may not be applied to transactions that do not meet the minimum threshold or that are made at ineligible merchants.
The Coupon or Promotional Benefit is non-refundable. If a transaction for which a Coupon was applied is subsequently refunded or voided, the value of the Coupon will not be returned to the User. Said value will be credited back to Clip Cartera Digital's funds account. If the redemption was consumed due to a system error, Clip Cartera Digital may, at its discretion, re-issue an equivalent Coupon.
If a Coupon shown on the payment page expires before the User completes the transaction (i.e., between the time the payment page is loaded and the time the "Pay" button is pressed), the expired Coupon will be automatically removed from the order. No discount will be applied for the expired Coupon and the User must select an alternative or proceed without a Coupon.
FIFTH.- Communication of the benefit and crediting times
The Coupon or Promotional Benefit will be reflected in the corresponding section of the App (for example, “Benefits”, “Coupon or Promotional Benefit”, “Promociones” or a similar label) within a reasonable period after the validation of each Valid Transaction or event, in accordance with Clip Cartera Digital’s and, where applicable, Clip AI’s internal processes.
Crediting times may vary due to operational or reconciliation reasons, or due to the involvement of third parties (processors, payment networks, financial institutions or other payment system participants), without creating any liability for Clip AI or Clip Cartera Digital beyond what is provided under applicable law.
Clip Cartera Digital may communicate estimated crediting times to the User, which will always be of a referential nature and subject to the validation of the Valid Transactions and to potential security, risk and compliance reviews.
In the event of significant delays or operational incidents in the crediting of Coupon or Promotional Benefit, Clip Cartera Digital may implement reasonable corrective measures and, if necessary, inform the User through the App or other electronic means, without such circumstances, by themselves, giving rise to any right to additional compensation.
SIXTH.- Restrictions and grounds for exclusion
Without prejudice to what may be set forth in the specific rules of each Coupon Campaign, the following shall not be eligible for Coupon or Promotional Benefit: i) Transactions that do not meet the minimum amounts, transaction types, channels or requirements defined as Valid Transactions; ii) Transactions carried out outside the term of the corresponding Coupon Campaign; iii) Transactions that are cancelled, reversed, not authorized, that fail or that, for any reason, are not finally settled; iv) Users who are in breach of the Digital Wallet Terms and Conditions, Clip AI’s terms, these Coupon Campaign T&C or applicable law; v) Transactions that, in Clip Cartera Digital’s view, are fraudulent, unusual, suspicious or carried out for the purpose of unduly obtaining the benefit, including, by way of example and without limitation, those that appear to involve transaction simulation schemes, collusion between Users or merchants, or any improper use of the Digital Wallet.
Clip Cartera Digital may deny, cancel or reverse the Coupon or Promotional Benefit when any of the above situations is detected, without prejudice to any additional actions it may take in accordance with law, including the possibility of closing or limiting the Digital Wallet Account and of Clip AI taking the corresponding measures regarding the User’s Clip AI Account.
Clip Cartera Digital's total liability in connection with any Coupon shall in no event exceed the nominal value of the applicable Coupon. The Platform shall not be liable for losses or damages arising from failure to redeem prior to expiration, technical errors preventing redemption, unavailability of the Coupon due to payment method incompatibility or merchant restrictions, or cancellation due to fraud.
Clip Cartera Digital may conduct manual or automated reviews of Users’ transactions and usage patterns in order to prevent fraud, program abuse or regulatory breaches, and on that basis determine whether Coupon or Promotional Benefit is warranted.
SEVENTH.- Relationship with other Terms and Conditions
Participation in the Coupon Campaigns is subject not only to these general T&C, but also to: i) The Digital Wallet Terms and Conditions; and ii) The terms and conditions governing the Clip AI Account, as well as any other conditions or agreements that the User may have entered into with Clip AI or with third-party participants.
The above documents form an integral part of the contractual relationship with the User. In the event of any discrepancy between these general Coupon Campaign T&C and the Digital Wallet Terms and Conditions, the latter shall prevail, except where otherwise permitted under applicable regulations, or where the specific terms of a given Coupon Campaign expressly establish a specific rule permitted under such regulations.
In addition, certain Coupon Campaigns may have their own specific terms and conditions, which shall be deemed complementary to these T&C and shall prevail over them with respect to the matters they expressly and specifically govern for that campaign.
EIGHTH.- Term of the Coupon Campaigns
Each Coupon Campaign will have the term specified in its communication and/or in its specific terms and conditions (for example, start and end dates, Coupon or Promotional Benefit accrual period, Coupon or Promotional Benefit usage period, etc.).
Notwithstanding the foregoing, Clip Cartera Digital may amend the term or terminate any Coupon Campaign early, by informing the User through the App and/or by electronic means, without prejudice to any rights already accrued by Users in relation to Coupon or Promotional Benefit that has already been generated and has not yet expired, in accordance with applicable regulations and with these T&C.
The termination of a Coupon Campaign does not, by itself, imply the immediate cancellation of Coupon or Promotional Benefit that has already been credited to the User and remains within its validity period, unless otherwise provided in the specific terms of the campaign or under applicable regulations.
NINTH.- Amendments and cancellation
Clip Cartera Digital may amend, update or cancel, in whole or in part, the Coupon Campaigns as well as these T&C at any time, by informing the User through the App or other electronic means.
The User’s continued participation in the Coupon Campaigns after publication of any amendments shall constitute the User’s tacit acceptance of such amendments.
If the User disagrees with any amendment, they must refrain from continuing to participate in the Coupon Campaigns and, where applicable, cease using the Digital Wallet for such purposes, without prejudice to their ability to continue using other services under the applicable terms and conditions.
TENTH.- Confidentiality
The User agrees to maintain the confidentiality of any information received from Clip Cartera Digital by any means, whether verbal, written, graphic or electronic, that is deemed confidential pursuant to applicable laws in the United Mexican States, and not to share it with any person or entity, except with Clip Cartera Digital, its affiliates, parent companies, assignees and/or related parties, as set forth in Clip Cartera Digital’s Privacy Notice.
ELEVENTH.- Intellectual Property
The User hereby acknowledges that they do not and will not hold any rights over the trademarks, patents, trade names and/or industrial and intellectual property rights owned by Clip Cartera Digital. Accordingly, Users may not make any changes or modifications to such rights.
Clip Cartera Digital hereby informs the User that any designs and/or trademarks used in the Coupon Campaigns that are different from Clip Cartera Digital’s trademarks are included for informational purposes only, as they are the property of their respective registered owners. Clip Cartera Digital is not responsible for the use and treatment given to such elements.
TWELFTH.- Miscellaneous
Any unlawful act or attempted unlawful act, as well as any breach of these Terms and Conditions, will result in the User being excluded from the Coupon Campaigns, without the possibility of re-entering them, without prejudice to Clip Cartera Digital and/or Clip AI taking any additional measures that may be appropriate under applicable law.
Clip Cartera Digital may verify any unlawful act, attempted unlawful act or breach of these Terms and Conditions by any means it deems appropriate, including security reviews, transaction monitoring, requests for additional information from the User and other due diligence measures.
The User releases Clip Cartera Digital; its affiliates, controlled entities and subsidiaries; directors, shareholders, managers, employees; and all of Clip Cartera Digital’s associates from any and all liability in relation to, or in any way directly or indirectly arising from, these Terms and Conditions and/or the acceptance, use or misuse of the Coupon Campaigns, except where such liability cannot be limited under applicable law.
THIRTEENTH.- Jurisdiction and applicable law
These Terms and Conditions shall be governed in all respects by the laws in force in the United Mexican States.
Any dispute arising out of these Terms and Conditions, including their existence, validity, interpretation, scope or performance, shall be submitted to applicable law and to the competent courts of Mexico City.
For the interpretation, performance and enforcement of these Terms and Conditions, Clip Cartera Digital and the User expressly submit to the jurisdiction of the competent courts of Mexico City, expressly waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.
These Terms and Conditions are governed by their Spanish versions. Any translation is provided solely for convenience.
