TERMS AND CONDITIONS OF USE OF MI CLIP CUENTA

The following Terms and Conditions of use form part of the content of the Adhesion Contract that governs the legal relationship between Clip AI, S.A. de C.V., an Electronic Payment Funds Institution, identified by its trade name “Clip AI”, and you, hereinafter referred to as the “Customer”, who jointly with Clip AI are identified as the “Parties”. These Terms and Conditions of use apply by the mere fact of registering as a Customer of any of the services offered by Clip AI; therefore, your acceptance (regardless of the medium through which it is given) shall be subject to these Terms and Conditions of use and shall constitute an express, full and unconditional manifestation of your will.

Declarations

Clip AI Technologies, S.A. de C.V., an Electronic Payment Funds Institution (“Clip AI”), is duly incorporated under the laws of the United Mexican States, with its registered office at Av. de los Insurgentes Sur 1457, 23rd Floor, Insurgentes Mixcoac, Benito Juárez, C.P. 03920, Mexico City, Mexico. It is a Financial Technology Institution (“Fintech”), authorized, regulated and supervised by the National Banking and Securities Commission (“CNBV”), Banco de México (“BANXICO”) and the National Commission for the Protection and Defense of Financial Services Users (“CONDUSEF”), pursuant to the Law to Regulate Financial Technology Institutions. You are hereby informed that neither the Federal Government nor the agencies of the parastatal public administration may be liable for or guarantee the resources of Customers used in the transactions they conduct with Clip AI or vis‑à‑vis others, nor assume any responsibility for the obligations contracted by Clip AI or by any Customer vis‑à‑vis another as a result of the transactions they conduct.

Clip AI is legally authorized to commercially operate its App and its web platform for smartphones, whose function is to carry out person‑to‑person payments that will be made through or by means of the wallet enabled for you as a Customer for such purpose.

In turn, the Customer declares and warrants, under oath, that they are of legal age and have the necessary legal capacity to carry out the activities indicated on the website https://miclip.mx/clip-cuenta or through the App (as defined below), and that all information and documentation they have provided and/or may provide as part of their identification for obtaining the Services is true, complete and correct, and they remain obliged to indemnify and hold Clip AI harmless from any damage, loss, claim and/or action caused by any omission or falsehood in such information.

By virtue of these Terms and Conditions, Clip AI shall provide the Customer with the Services it offers in accordance with the following:

Definitions

The Parties agree that, for purposes of these Terms and Conditions, the terms listed below with an initial capital letter, whether in singular or plural form, shall have the meanings set forth in this section:

App: the Clip AI App for smartphones available on iOS, Android and/or Huawei through which the Customer uses the Services. It shall also include access points in third‑party Apps through which certain Services are promoted and integration into the Clip AI environment is enabled.

Cover Page: the document that forms part of the Adhesion Contract, which Clip AI makes available to the Customer by email and which contains the main characteristics of the transaction that the Customer enters into under the Adhesion Contract.

Instruction Channels: the equipment, electronic, optical or other technology‑based means, automated data processing systems and telecommunications networks that form part of Clip AI’s Technological Infrastructure and through which the electronic payment funds institution enables the Customer to carry out Transactions.

Adhesion Contract: the Adhesion Contract for the Issuance and Commercial Deposit of Electronic Payment Funds, which sets forth the terms and conditions for use of the account, registered with Condusef on the following website:  https://phpapps.condusef.gob.mx/reca/_index.php#index.

Account: the Electronic Payment Funds account that Clip AI opens in the Customer’s name, in which, among others, the following are recorded: (1) the credits corresponding to: (i) the amount of Electronic Payment Funds that Clip AI issues in favor of the Customer against receipt of an amount of money in Mexican currency; or (ii) the amount of Electronic Payment Funds subject to the relevant Electronic Payment Funds Transfers; as well as (2) the charges corresponding to: (i) the disposition of such Electronic Payment Funds; or (ii) the amount of Electronic Payment Funds subject to the Electronic Payment Funds Transfers.

Business Days: the days on which credit institutions are not required to close their doors or suspend operations, pursuant to the general provisions issued for such purpose by the National Banking and Securities Commission.

Authentication Factors: the mechanisms used to verify the Customer’s identity and that enable the Customer to carry out Transactions within the Platform.

Funds: those funds issued, administered, redeemed and transferred that are recorded in an electronic register of transactional accounts maintained by Clip AI and which: (i) are referenced to a monetary value equivalent to a specific amount of money in Mexican currency; (ii) correspond to a payment obligation of the issuer for the same amount of money referred to in item (i) above; (iii) are issued against receipt of the amount of money referred to in item (i) above, for the purpose of crediting, transferring or withdrawing such Electronic Payment Funds, in whole or in part, pursuant to the instruction given for such purposes by the relevant holder of the Electronic Payment Funds; and (iv) are accepted by a third party as receipt of the amount of money.

Customer Service Hours: the App shall be available for operation 24 (twenty‑four) hours a day, 365 (three hundred and sixty‑five) days a year. The foregoing is independent from the hours at which transactions are reflected, in accordance with the regulations applicable to the Interbank Electronic Payment System (SPEI) issued by Banxico. Additionally, our personalized support hours via chat or email at hola@clipai.mx are Monday to Friday from 9:00 a.m. to 10:00 p.m. and Saturdays from 9:00 a.m. to 6:00 p.m.

Technological Infrastructure: the computing infrastructure, telecommunications networks, operating systems, databases, software and Apps used by Clip AI to support its operations.

Instruction: the orders or information generated, sent or communicated by the Customer to Clip AI through the Platform so that Transactions may be carried out.

Account: the electronic payment funds account that the Customer opens with Clip AI pursuant to the Adhesion Contract and these Terms and Conditions.

Transactions: all those transactions that the Customer may order, authorize, process and/or execute through the App by means of Instructions, in accordance with the Adhesion Contract and these Terms and Conditions. The Customer may only carry out those Transactions that are authorized for the Account they hold with Clip AI.

Platform: the official Clip AI website and/or any other electronic or software‑based method of Clip AI, other than the App, including access points in third‑party Apps through which certain Services are promoted and integration into the Clip AI environment is enabled.

Services: any product or service offered by Clip AI and made available to the Customer through the execution of the Adhesion Contract.

Terms and Conditions: these terms and conditions of use of the App and the Instruction Channels.

Funds Transfer: the transaction carried out between Clip AI and another Electronic Payment Funds Institution or Financial Entity, whereby Clip AI (i) credits the Account for an amount of money equivalent to the amount indicated in the relevant order it receives, derived from the charge that such other Electronic Payment Funds Institution or entity makes in the corresponding account; or (ii) debits the Account for the amount of money indicated by the Customer in the order they issue so that, once the relevant electronic payment funds have been redeemed, such amount is credited in favor of the other Electronic Payment Funds Institution or Financial Entity to whom such order is sent for credit to the deposit account indicated in such order.

Electronic Payment Funds Transfer: the transaction carried out by Clip AI, pursuant to the Customer’s instruction and in accordance with the Adhesion Contract, by which Clip AI credits a specific amount of electronic payment funds to the Customer’s Account, derived from the charge for such amount to another Clip AI customer’s account, or vice versa.

UNE: Clip AI’s Specialized User Service Unit whose purpose is to handle Customers’ inquiries, claims and/or clarifications.

First. Clip AI App

Clip AI grants the Customer the right to use, from a smartphone and for personal use, the App through which access to the Services is facilitated pursuant to the Adhesion Contract, including transferring funds to their electronic payment funds account or, as applicable, disposing of such resources at merchants authorized for such purposes and/or to Clip AI customers.

The App is a connectivity tool activated and authorized by the Customer to facilitate the mechanism for using the Account’s means of disposition. The Aggregator (as defined in the Adhesion Contract) shall be responsible for processing the authorization request for each and every payment; therefore, the use of the App does not imply the rendering of any of the services that are exclusive to participants in the Card Payment Network.

The Customer acknowledges and accepts that use of the Clip AI App does not replace, supersede or modify the contractual relationship between the Customer and the card issuers, merchants and other participants in the Card Payment Network.

Second. Customer Registration

To register in the App, the Customer must accept these Terms and Conditions and provide, for such purposes, complete and truthful information as requested, and the Customer is responsible for keeping such information permanently updated. Once registered and having accepted the Adhesion Contract, these Terms and Conditions and the Privacy Notice, an individual, unique and non‑transferable account shall be generated for the Customer.

Once the aforementioned individual account has been opened, Clip AI shall record and transfer to such individual account the amounts received through the Concentration Account (as defined in the Adhesion Contract), the credits corresponding to the issuance of the Customer’s electronic payment funds, as well as the charges for the disposition of such funds.

Third. Origin of Resources

The Customer declares that they are the ultimate owner of the resources and that they are acting on their own behalf. Likewise, the Customer declares and warrants that the financial resources used and/or transacted on the Platform come at all times from lawful sources and will be used solely for lawful activities, being aware that otherwise Clip AI shall proceed to take all actions available to it, and the Customer shall also be obliged to indemnify and hold Clip AI harmless from any damage, loss, claim and/or action caused by such breach.

Fourth. Services

The Services offered by Clip AI are:

  1. A mobile App that allows our Customers to make transfers and payments to third parties (only with resources originating from domestic financial entities). These transfers are made immediately (available 24/7), and the person receiving the payment does not need to have the App. The person receiving the payment may deposit it into their bank account immediately, also available 24/7.
  2. Clip AI may enable, within the App, a link to be redirected to the Clip App, with the possibility of making different service payments such as electricity, water, gas, telephone, purchase of airtime, among others, which are offered by various third‑party companies. The Customer accepts and acknowledges that Clip AI does not make the payment to such third parties and is therefore released from any liability and/or claim. Additionally, Clip AI may debit from the Account the amounts corresponding to the transactions to settle the service payment. Likewise, the Customer hereby states that no cancellations shall proceed if the Customer makes a payment in error or for any reason beyond Clip AI’s control.

Clip AI shall be entitled at all times to block the Customer’s transactions related to any of the above‑mentioned services if it detects or suspects that the Customer carries out or promotes unlawful activities or conducts transactions related thereto.

Fifth. Account Limits and Modifications

Clip AI may set balance limits in the Clip AI Wallet as it deems appropriate and may increase or decrease such limits at its sole discretion, in compliance with applicable laws and always with reference to the relevant account level. The account levels under which Clip AI operates are as follows:

For more information, the Customer should periodically consult our levels and limits table at  https://miclip.mx/clip-cuenta, as well as any amendments to these Terms and Conditions for such purposes. The Customer may request an upgrade of their account level, provided they comply with the documentation required by Clip AI.

Sixth. Password and Biometric Data

Upon registration, the Customer shall create an access word or alphanumeric code in accordance with the standards established by Clip AI. By this act, the Customer gives their express consent for the App to implement the Customer’s biometric identification by facial recognition and/or fingerprint, which may only be used if the Customer’s access device has such technology and with quality conditions acceptable to Clip AI (the “Biometric Data” and, together with the access word or code, the “Password”), and both methods may be used as authentication factors within the Platform. If the Password is not used, Clip AI shall not be required to provide access to the Platform or process transaction requests.

The Password shall be for the Customer’s exclusive knowledge and the Customer shall be responsible for keeping it confidential. Under no circumstance shall Clip AI be liable for any misuse of the Password by the Customer or a third party who has gained access through pharming, phishing or other types of social engineering.

Clip AI may at any time establish or modify policies and mechanisms to increase the security level of the Password by simple notice to the Customer through https://miclip.mx/clip-cuenta, the App or by email. Likewise, Clip AI currently has mechanisms in place so that the Customer’s fingerprint may be used as a means of authorizing their transactions.

Implementation of Biometric Data as one of the authentication factors determined by Clip AI is not mandatory, it being understood that certain mobile phones do not have such functionality; however, Clip AI informs the Customer that this feature allows the Customer to benefit from optimal technological functionalities.

Seventh. Use of the App

Clip AI, through https://miclip.mx/clip-cuenta or through the App, shall inform the Customer of the modalities, characteristics and operating methods of each of the Services it offers and is authorized to modify, limit or expand them from time to time.

When a transaction is successfully completed in the App, a receipt (ticket) is generated, which appears upon completion of the transaction and is available in the section called “History” in the App. Likewise, when funds are received into or sent from the Account, an email is sent with the transaction information, amount and date to the email address the Customer has registered on the Platform.

Furthermore, if the Customer receives a deposit, they will receive a push notification from the App, provided the Customer has granted permission to authorize such notifications.

Eighth. Use of the Website

Use of the Clip AI website and the App, as well as customer support communications, is the exclusive responsibility of the Customer, who may use them in accordance with the functionalities allowed on such website and App and with the uses authorized in these Terms and Conditions. The Customer therefore undertakes to use them in such a way that they do not violate internet use and coexistence rules, the laws of the United Mexican States, good customs, human dignity and the rights of third parties. The Customer may not in any way commercially exploit the Services nor shall they have the right to limit or prevent any other Customer from using the Clip AI website, the App or the Services.

Ninth. Commissions

Clip AI does not charge the Customer any commissions, including for opening, administration, unjustified claims, electronic transfers or for replacement in case of theft or loss.

Tenth. Amendments

Clip AI shall have the right to amend these Terms and Conditions at any time through Clip AI’s website or the App, where the Customer may and must from time to time consult their current version.

Eleventh. Transaction Claims, Theft or Loss

For Clip AI to handle any incident reports, claims regarding transactions, theft or loss of the Customer’s identification and authentication information, the Customer must send an email to hola@clipai.mx or contact our support team via chat, either from the app or from our website, once authenticated. The claim is recorded in the databases maintained by the support area for such purpose.

Twelfth. Unrecognized Charges

The Customer acknowledges and accepts that once they have transmitted their instruction to make the payments and transfers described in these Terms and Conditions, such instruction cannot be cancelled, unless the transaction was not carried out by the Customer and they send a notice of claim for unrecognized charges to Clip AI in accordance with the Adhesion Contract.

Clip AI shall not be obligated to make the credit referred to in the preceding paragraph if it is proven to the Customer that, in the transaction giving rise to the unrecognized charge, two of the independent elements used to authenticate transactions as authorized by the Customer were used at the time of the transaction.

Thirteenth. Restriction and Suspension of Access

Clip AI shall have the right to deny, restrict or condition the Customer’s access to the Services, in whole or in part, at its sole discretion and without prior notice, whenever in its judgment this is necessary or advisable for the security of the transactions covered by these Terms and Conditions or due to misuse of the App or breach of applicable law.

Clip AI reserves the right to block access to the Platform, and therefore to the Account, in the following cases: (i) suspicious activity, such as logging in on multiple devices or devices on which a different Account than the one attempting to be used had previously been used; (ii) creation of an account whose CURP has already been registered by another customer; (iii) when, even with multiple accounts allowed by Clip AI, the Customer’s use of such accounts prevents or hinders their proper identification or transaction traceability, or contravenes applicable provisions on the prevention of transactions with resources of illicit origin; (iv) manipulation and/or submission of false or forged documents to Clip AI; (v) detection of identity theft; (vi) by instruction or order of a competent authority; (vii) if the Customer is on the blocked persons list maintained by the Ministry of Finance and Public Credit, as well as on the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury, and other applicable sanctions; (viii) detection of transactions or potential transactions with resources of illicit origin; and (ix) if the Customer uses the website, App and/or contact and support details in a manner that violates internet use and coexistence rules, the laws of the United Mexican States, good customs, human dignity and the rights of third parties.

The Customer accepts that in any of the aforementioned cases, Clip AI may block their Account without prior notice. Clip AI undertakes to notify the Account blocking within 2 (two) Business Days thereafter, through the App and to the Customer’s registered email address.

Fourteenth. Connectivity

Clip AI’s Services shall be available throughout all geographical areas within Mexican territory; however, due to lack of connectivity, the Customer may experience issues when attempting to access the Services, and the Customer therefore accepts and acknowledges that Clip AI cannot guarantee the availability and continuity of operation of  https://www.clip.mx/soluciones/clip-cuenta and the App or the provision of the Services via the access method used by the Customer, including mobile telephony.

Clip AI shall not be liable for any damage or loss of any kind that may be caused by the lack of availability or continuity of operation of  https://www.clip.mx/soluciones/clip-cuenta, the App or the lack of provision of the Services, including damages or losses caused to the Customer by computer viruses due to connectivity issues. In the event of a connectivity failure due to operational contingencies in any of the public instruction channels lasting more than 30 (thirty) minutes, Clip AI must notify the Customer via the App and provide the Customer with information related to such contingency via email within a maximum of 60 (sixty) minutes from the occurrence of the event.

Fifteenth. Personal Data

Clip AI, pursuant to the obligations established in the regulations on personal data processing, informs the Customer that the Customer’s personal information received by Clip AI through  http://www.clip.mx/soluciones/clip-cuenta or through the App shall be used so that Clip AI is able to provide the Services and, where applicable, to send promotional information regarding the Services, its affiliates or parent companies, and/or merchants where the Clip AI Card is accepted.

The Customer may exercise their ARCO Rights pursuant to Clip AI’s Privacy Notice included on https://miclip.mx/clip-cuenta. By accepting these Terms and Conditions, the Customer also accepts the Privacy Notice, which is hereby deemed reproduced as if fully set forth herein.

These Terms and Conditions are governed by their Spanish versions. Any translation is provided solely for convenience.
